Who These Terms Apply To
Contoro is provided to institutions (universities and their departments) under a separate order form or agreement. These Terms apply to that institution and to every individual user it authorizes to access the platform.
Accounts and Access
Your institution is responsible for authorizing individual user accounts and for those users' compliance with these Terms. Account credentials should not be shared between individuals. Your institution is responsible for promptly deactivating accounts for users who no longer should have access (e.g., departed staff).
Acceptable Use
Contoro may not be used to: violate any law or third party's rights; upload malicious code; attempt to gain unauthorized access to the platform or other tenants' data; or use the service in a way that could disable, overburden, or impair it.
Your Content
You retain ownership of the content your institution creates within Contoro (cards, documents, campaign data, and similar). You grant us a limited license to host, store, and display that content solely as necessary to provide the service to you. We do not use your content to train models or share it with other tenants.
Third-Party Integrations
Contoro integrates with third-party services (such as Google Analytics 4) at your institution's option. Your use of those integrations is also subject to that third party's own terms; we are not responsible for third-party services' availability or conduct.
Subscription, Fees, and Term
Fees, billing cadence, and plan/pack details are set out in your institution's order form. Fees are non-refundable except as required by law or as separately agreed in writing.
Suspension and Termination
We may suspend or terminate access for a material breach of these Terms that isn't cured within a reasonable time after notice. Your institution may terminate as provided in its order form. Upon termination, data handling follows our Privacy Policy's retention terms.
Disclaimers
Contoro is provided "as is." We do not guarantee the service will be uninterrupted or error-free. To the maximum extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Limitation of Liability
To the maximum extent permitted by law, Contoro's total liability arising out of these Terms or use of the service will not exceed the fees paid by your institution in the 12 months preceding the claim. Neither party is liable for indirect, incidental, or consequential damages.
Changes to These Terms
We may update these Terms as the platform evolves. Material changes will be communicated to account holders, and continued use after changes take effect constitutes acceptance.
Governing Law
These Terms are governed by the laws of the State of Mississippi, without regard to conflict-of-law principles.
